1. Not a Licensed Financial Services Provider

Moris Nou Pei operates as an online intermediary platform only. We are not licensed, authorised, or regulated as:

  • A financial adviser under the Financial Services Act 2007 of Mauritius;
  • A collective investment scheme manager under the Securities Act 2005;
  • A broker, dealer, or market maker in securities;
  • A bank, deposit-taking institution, or payment service provider under the Bank of Mauritius Act 2004;
  • A crowdfunding platform regulated by the Financial Services Commission (FSC) of Mauritius.
Consequence: You are not afforded the investor protection rights that would apply if you were dealing with a licensed financial services provider. We strongly recommend seeking independent advice from an FSC-licensed financial adviser.

2. Nature of the Platform

The Moris Nou Pei platform is a marketplace for introductions only. We:

  • Collect a success fee on completed deals
  • Provide basic identity verification

  • Verify the accuracy of any business information posted
  • Conduct financial, legal, or technical due diligence
  • Endorse, recommend, or guarantee any opportunity
  • Hold, manage, or safeguard any investor funds
  • Provide legal, financial, or tax advice
  • Guarantee returns or the preservation of capital

3. Investment Risks

Before investing in any opportunity listed on this Platform, you should understand and accept the following risks:

Capital Risk
You may lose some or all of the money you invest. Business investments, particularly in early-stage or emerging market companies, carry a high risk of partial or total capital loss. Do not invest money you cannot afford to lose.
Illiquidity Risk
Investments in private companies listed on this Platform are typically illiquid. There is no guaranteed secondary market. You may not be able to sell or exit your investment for months or years, if at all.
Information Risk
Information provided by entrepreneurs may be incomplete, inaccurate, out-of-date, or misleading. Moris Nou Pei does not independently verify any claims. You must conduct your own due diligence.
Fraud Risk
Despite our AML/KYC procedures, fraudulent actors may attempt to exploit investment platforms. Never transfer funds directly to an entrepreneur without independent legal verification of the investment agreement.
Dilution Risk
Your equity stake in a business may be diluted by future funding rounds, new share issues, or changes to the capital structure.
Regulatory Risk
The regulatory environment for investments, particularly in Mauritius and West Africa, may change. New laws or regulations may affect the legality, structure, or profitability of your investment.
Currency Risk
Cross-border investments involve currency exchange risk. Fluctuations in exchange rates between MUR, XOF, USD, EUR, and other currencies can significantly affect the value of your investment.

5. Tax Considerations

6. Due Diligence Recommendation

Before committing any funds, you should at a minimum:

  3. Commission an independent legal review of any investment agreement;

7. Dispute Between Parties

Moris Nou Pei is not a party to any investment agreement between an entrepreneur and an investor. We are not liable for:

  • Breach of any investment agreement;
  • Non-payment of promised returns;
  • Misrepresentation by either party;
  • Any financial loss arising from the investment.

We offer voluntary mediation services as a courtesy to Platform users. Formal dispute resolution is governed by our Terms of Service (Section 15).
